3.2.13 Any institution-related foundation not controlled by the institution has a contractual or other formal agreement that (a) accurately describes the relationship between the institution and the foundation, and (b) describes any liability associated with that relationship. In all cases, the institution ensures that the relationship is consistent with its mission.

Narrative:
The University of Alabama in Huntsville (UAH) is in compliance with Principle 3.2.13 because the relationships between the University and each of the three institution-related foundations (UAH Foundation, Eminent Scholars Foundation, and Engineering Foundation) and between the University and the UAH Alumni Association are accurately described in written agreements. The foundations and the Alumni Association operate for the benefit of the University and are not controlled by it. The University's relationships and agreements with these foundations and associations, as described below, ensure that its relationship with them is consistent with the University's mission; there are no liabilities associated with those relationships.

The UAH Foundation was founded in 1965 by amendment of the Articles of Incorporation to support educational, scientific, and charitable purposes and specifically to assist and aid the University in fulfilling and performing its educational, training, and research programs. In accordance with the Bylaws of the UAH Foundation, the Foundation is governed by a Board of Directors. Four hold office by virtue of their positions with the University. These four ex-officio directors are the Chancellor, the President, the Chief Financial Officer, and the Executive Director and Secretary. The other directors are not ex-officio, and consist of an unlimited number of life members and a maximum of 16 term members. The relationship is further defined by a Pooled Endowment Fund Agreement and an Administrative Service Agreement.

The Eminent Scholars Foundation exists to promote the endowment of faculty chairs in research and engineering for the UAH. The board consists of an unlimited number of members. The President is an ex-officio member and a majority of the Board of Directors must be from UAH. The Eminent Scholars Foundation operates under the Guidelines for the Bylaws of Eminent Scholars Foundation.

The Engineering Foundation was established in 1982 through its Articles of Incorporation and Bylaws to assist and facilitate for UAH educational, research, and public service programs primarily in the engineering, scientific, and management disciplines. The Board of Directors has seven members of which two-thirds will at all times be related to UAH by employment or by service on the Board of Trustees of The University of Alabama System.

The Alumni Association enables the University's alumni to organize and direct their efforts and resources to assist the University in meeting its mission and goals. A written agreement between the University and the UAH Alumni Association outlines the terms including financial services, administrative services, and other operational aspects of the relationship between the two entities.
