3.2.3 The board has a policy addressing conflict of interest for its members.

Narrative:
The University of Alabama in Huntsville (UAH) is in compliance with Principle 3.2.3 because the Board of Trustees has a policy addressing conflict of interest. The three universities of The University of Alabama System share a policy addressing conflict of interest for Board members. The Board of Trustees of the University of Alabama Board Manual, Board Rule 106, which references the Code of Alabama, Section 13A-10-62, Failure to Disclose Conflict of Interest, addresses ethics and conflict of interest for the members of the Board and its senior administrators. Specifically, the Rule cites the need for "individuals of wide experience and successful involvement in business, industry, education, the professions, and government on its Board of Trustees and as its senior administrators." The Rule further recognizes that the individuals "bring broad exposure to decisions that directly or indirectly affect their outside responsibilities or property interests," and it requires that a public servant disclose a potential conflict of interest when that individual is an executive officer or owns a substantial portion of a non-governmental entity participating in a transaction with a governmental organization. Members of the Board of Trustees are required to provide written disclosure of any potential conflict of interest to the President pro tempore of the Board, who refers the potential conflict to the Executive Committee. The Executive Committee has final authority for determining whether or not a conflict of interest exists and may consult the Public Review Committee if a case is difficult to resolve.

As addressed in Board Rule 304, unquestioned confidence in their professional integrity is demanded of Board members, and members of the Board of Trustees must exercise their responsibilities in managing the affairs of the institutions of The University of Alabama System in such a fashion and in such an atmosphere that they continuously demonstrate that their decisions are based solely on their understanding of what is in the best interest of the institutions, uncluttered by any other considerations and unencumbered by conflicting obligations or interests.
